The Conference club hope to open talks with him before Christmas and complete the deal when the transfer window reopens in January.
Grays chairman Mike Woodward said: "Wycombe have accepted our offer and it's a matter of sitting down and talking to him."
Grays have been tracking Dixon since the start of the season and it is now up to him to decide whether he wants to drop into the Conference to resurrect his career.
He turned down a move to Aldershot in the summer because he wanted to fight for his Adams Park place under new manager Paul Lambert.
But he has managed just one league start this season and was not even on the substitutes' bench for Saturday's 1-1 draw with struggling Barnet at Adams Park.
He failed to make the 16-man squad even though top-scorer Jermaine Easter was ruled out with a shoulder injury.
Dixon burst onto the Adams Park scene as a youngster after Blues beat Aston Villa to his signature and he scored a glut of goals in the youth team before winning his first team debut as a substitute against Northampton four years ago.
But he really announced himself on the scene when he scored on his full debut against QPR on Boxing Day that season and then scored another two in his next three appearances.
But he failed to build on his bright start and was subsequently loaned out to conference clubs Crawley and Aldershot.
He rediscovered his scoring touch with the Shots scoring nine times in 12 matches and they were desperate to sign him in the summer but even though Blues accepted their £5,000 bid Dixon decided to stay and fight for a first team place at Wycombe.
